1. Acceptance of Terms

Welcome to YouNova. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Client," "User," "you") and YouNova ("Company," "we," "us," "our"), a personal transformation and business coaching company located at 156 S Park Square, Fruita, CO 81521, United States.

By accessing our website, purchasing any program, enrolling in any coaching service, downloading any digital material, attending any event, or otherwise using any portion of the YouNova platform and services (collectively, "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, including our Privacy Policy and Refund Policy, which are incorporated herein by reference.

If you do not agree to these Terms, you must immediately cease using our Services. Your continued use of the Services following any modification to these Terms shall constitute your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.

These Terms apply to all visitors, clients, and users of YouNova, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

2. Description of Services

YouNova provides personal transformation coaching, career development guidance, income elevation strategies, identity reconstruction programs, and related educational and mentorship services. Our current service offerings include, but are not limited to:

2.1 Ignition Program

A six-week foundational transformation program designed for individuals seeking to establish clarity and initiate meaningful change in their personal or professional lives. This program includes individual coaching sessions, digital resource access, and structured accountability frameworks.

2.2 Ascent Program

A twelve-week comprehensive transformation experience encompassing income architecture, career repositioning, personal brand development, and deep behavioral change methodology. This program includes intensive coaching calls, personalized blueprints, and priority communication access.

2.3 Nova Elite Program

Our flagship six-month mastery journey offering the most comprehensive transformation experience available through YouNova. This program includes all elements of the Ascent Program plus in-person intensive sessions, unlimited coaching access, executive network introductions, twelve-month alumni community membership, and annual strategy reviews.

2.4 Digital Products and Resources

We may offer standalone digital products, workbooks, courses, frameworks, and educational materials for individual purchase. These products are governed by these Terms unless separate terms are provided at the time of purchase.

2.5 Service Modifications

YouNova reserves the right to modify, update, add, or discontinue any service offering at any time. We will provide reasonable notice to current enrolled clients of any material changes that affect their active programs. Program descriptions, features, and schedules are subject to change based on evolving methodologies and client needs.

2.6 No Medical or Therapeutic Services

YouNova's services are educational and coaching in nature. Nothing provided by YouNova constitutes medical advice, psychological therapy, legal counsel, financial advisory services, or any other form of licensed professional practice. If you have mental health concerns, medical conditions, or require professional licensed services, you are encouraged to seek appropriate qualified professionals.

3. User Eligibility and Registration

3.1 Age Requirement

YouNova Services are intended for individuals who are at least eighteen (18) years of age. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are under 18, you may not use our Services without explicit written consent from a parent or legal guardian who also agrees to these Terms.

3.2 Account Accuracy

When registering for any program or creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to promptly notify YouNova of any unauthorized use of your account or any other security breach.

3.3 One Account Per Person

Each program enrollment is for one individual only. Sharing program materials, coaching session access, or account credentials with another person is strictly prohibited and constitutes a material breach of these Terms. YouNova programs are designed for individual transformation and their efficacy depends on individual participation.

3.4 Geographic Restrictions

While YouNova serves clients globally, you are responsible for ensuring that your use of our Services complies with all applicable laws and regulations in your jurisdiction. We do not represent that our Services are appropriate or available for use in all locations.

3.5 Business Entities

If you are enrolling on behalf of a business entity, you represent and warrant that you have the authority to bind such entity to these Terms, and that the individual participating in the Services is authorized by that entity.

4. Client Responsibilities and Commitments

4.1 Active Participation

Transformation is a collaborative process that requires your genuine commitment and active participation. The results you experience through YouNova programs are directly correlated with the effort, openness, and engagement you bring to each session, exercise, and implementation task. YouNova does not guarantee specific results, as outcomes are inherently dependent on individual circumstances, effort, and application.

4.2 Scheduling and Attendance

You are responsible for scheduling your coaching sessions within the designated program period using the scheduling tools provided. Sessions not completed within the program period due to your failure to schedule or attend, without advance notice as specified in the rescheduling policy, are forfeited and are not eligible for refund or extension. Emergency situations will be considered on a case-by-case basis.

4.3 Rescheduling Policy

You may reschedule a coaching session without penalty by providing at least 48 hours advance notice prior to the scheduled session time. Sessions cancelled with less than 48 hours notice may be counted as completed or forfeited at the discretion of your coach, depending on the frequency of such cancellations during the program period.

4.4 Respectful Conduct

All interactions with YouNova coaches, staff, and community members must be conducted with respect, professionalism, and courtesy. Abusive, threatening, harassing, or disrespectful behavior of any kind toward any YouNova representative or fellow community member will result in immediate termination of services without refund.

4.5 Implementation Responsibility

You acknowledge that any strategies, frameworks, recommendations, or guidance provided through YouNova programs are for informational and educational purposes. The implementation of any business, financial, or personal strategy is entirely your responsibility, and you assume all risks associated with such implementation.

4.6 Truthful Self-Representation

For your coaching sessions to be effective, you agree to provide honest, accurate, and complete information about your circumstances, challenges, goals, and relevant history. Providing false or misleading information undermines the coaching process and may affect the quality of guidance provided.

5. Payment Terms and Billing

5.1 Program Fees

Fees for YouNova programs are displayed on our website and in the program enrollment agreements. All fees are listed in United States Dollars (USD) unless otherwise specified. YouNova reserves the right to modify program fees at any time, provided that any fee changes will not affect programs for which you have already paid in full.

5.2 Payment Methods

YouNova accepts major credit cards, debit cards, and other payment methods as specified during the checkout process. All payments are processed through secure, encrypted payment gateways. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.

5.3 Payment Plans

Where payment plans are offered, you agree to make all scheduled payments by the due dates specified in your enrollment agreement. Failure to make timely payments may result in suspension of access to program materials and coaching services, and may result in the balance being referred to a collections process. Late payments may be subject to administrative fees.

5.4 Taxes

You are responsible for all applicable taxes, duties, or other governmental charges associated with your purchase of YouNova services, except for taxes on YouNova's income. If YouNova is required to collect any such taxes, they will be added to your payment.

5.5 Currency and International Payments

If you are paying from outside the United States, your bank or credit card issuer may apply currency conversion fees or foreign transaction fees. These fees are your responsibility and are not controlled by YouNova.

5.6 Failed Payments

If a payment fails, we will make reasonable attempts to notify you and provide an opportunity to update your payment information. Repeated failed payment attempts may result in suspension or termination of your access to services.

6. Intellectual Property Rights

6.1 YouNova Ownership

All content, materials, frameworks, methodologies, curricula, videos, audio recordings, written materials, graphics, logos, visual design, user interface, and all other proprietary materials provided through or in connection with the Services (collectively, "YouNova Content") are the sole and exclusive intellectual property of YouNova and its licensors. The YouNova Content is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License

Subject to your compliance with these Terms and your payment of all applicable fees, YouNova grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the YouNova Content solely for your personal, non-commercial educational purposes during the term of your program enrollment. This license does not grant you any ownership rights in the YouNova Content.

6.3 Prohibited Uses of Intellectual Property

You may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works of, transmit, sell, resell, license, sublicense, or in any way exploit any part of the YouNova Content without the express prior written consent of YouNova. Without limiting the foregoing, you specifically agree not to:

  • Record, transcribe, or reproduce any coaching session, video, or audio content without explicit written permission;
  • Share your login credentials or program materials with non-enrolled individuals;
  • Use any YouNova frameworks or methodologies to train others or develop competing services;
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices appearing in the YouNova Content.

6.4 Client Materials and Feedback

You retain ownership of any personal notes, journals, or specific business plans you create during the program. However, any feedback, suggestions, testimonials, or ideas you provide to YouNova regarding the Services may be used by YouNova without restriction or compensation to you. YouNova may use anonymized, aggregated data derived from client outcomes and program metrics for internal analysis and external marketing purposes.

6.5 Trademarks

"YouNova," the YouNova logo, "Ignition," "Ascent," "Nova Elite," and all related names, logos, product and service names, designs, and slogans are trademarks of YouNova or its affiliates. You may not use such marks without the prior written permission of YouNova.

7. Confidentiality and Non-Disclosure

7.1 Definition of Confidential Information

"Confidential Information" means any non-public information disclosed by either party to the other in connection with the Services, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. For clarity, YouNova Confidential Information includes program methodologies, coaching techniques, and unpublished frameworks. Client Confidential Information includes personal circumstances, business plans, and financial details shared during coaching sessions.

7.2 Mutual Obligations

Both parties agree to use Confidential Information of the other party only in connection with the Services and to employ reasonable measures to prevent unauthorized disclosure of Confidential Information. Neither party will disclose Confidential Information of the other to any third party without prior written consent, except as required by law or court order.

7.3 Exceptions

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is independently developed by the receiving party without use of Confidential Information; or (d) is required to be disclosed by law, regulation, or valid legal process.

7.4 Group Program Settings

If you participate in group coaching sessions or community forums, you acknowledge that information you voluntarily share in those settings is not confidential as to other participants. YouNova expects all participants to respect the privacy of others, but cannot guarantee that other participants will maintain confidentiality. You are advised to share only what you are comfortable making known to the group.

8. Disclaimer of Warranties

THE SERVICES AND ALL YOUNOVA CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOUNOVA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

YOUNOVA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ARE RESPONSIBLE FOR IMPLEMENTING SUFFICIENT PROCEDURES AND CHECKPOINTS TO SATISFY YOUR PARTICULAR REQUIREMENTS FOR ANTI-VIRUS PROTECTION AND ACCURACY OF DATA INPUT AND OUTPUT.

ANY COACHING OR EDUCATIONAL CONTENT PROVIDED IS FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE. YOU SHOULD CONSULT WITH APPROPRIATE LICENSED PROFESSIONALS BEFORE MAKING ANY SIGNIFICANT FINANCIAL, LEGAL, BUSINESS, OR MENTAL HEALTH DECISIONS. YOUNOVA MAKES NO GUARANTEES REGARDING SPECIFIC OUTCOMES, INCOME LEVELS, CAREER ADVANCEMENT, OR PERSONAL SATISFACTION AS A RESULT OF USING THE SERVICES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YOUNOVA, ITS OFFICERS, DIRECTORS, EMPLOYEES, COACHES, CONTRACTORS, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PERSONAL INJURY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF YOUNOVA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, THE AGGREGATE LIABILITY OF YOUNOVA FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO YOUNOVA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF NO AMOUNTS HAVE BEEN PAID, YOUNOVA'S LIABILITY SHALL BE LIMITED TO ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, YOUNOVA'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless YouNova and its officers, directors, employees, coaches, agents, contractors, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property right, privacy right, or confidentiality obligation; (d) any content or information you submit, post, transmit, or make available through the Services; or (e) your implementation of any strategies, frameworks, or recommendations provided by YouNova.

YouNova reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with YouNova's defense of such claims. You shall not settle any such claim without the prior written consent of YouNova.

11. Termination of Services

11.1 Termination by You

You may cancel your enrollment or terminate these Terms at any time by providing written notice to YouNova. Upon termination, you will lose access to all program materials, community features, and coaching sessions. Refunds, if any, are governed exclusively by our Refund Policy, which is incorporated herein by reference.

11.2 Termination by YouNova

YouNova may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms, fail to make scheduled payments, or engage in conduct that YouNova determines, in its sole discretion, to be detrimental to YouNova, its community, or its coaches. In the event of termination for breach, no refunds will be provided.

11.3 Effect of Termination

Upon termination of these Terms for any reason, all licenses granted to you hereunder shall immediately terminate, and you must cease all use of the Services and YouNova Content. The provisions of these Terms relating to intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, governing law, and any other provisions that by their nature should survive termination shall survive any termination or expiration of these Terms.

12. Dispute Resolution

12.1 Initial Informal Resolution

YouNova values its relationship with you and is committed to resolving any disputes amicably and efficiently. Before initiating any formal legal action, you agree to first contact YouNova and attempt to resolve the dispute informally. Both parties agree to participate in good faith in an informal negotiation process for a period of at least thirty (30) days.

12.2 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Mesa County, Colorado, before a single arbitrator. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and Mediation Procedures. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

12.3 Class Action Waiver

YOU AND YOUNOVA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND YOUNOVA AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

12.4 Exception for Small Claims and Injunctive Relief

Notwithstanding the foregoing, either party may bring an individual action in small claims court. Additionally, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

12.5 Opt-Out Right

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to the contact address listed below within thirty (30) days of first accepting these Terms. The notice must clearly state your intent to opt out of the arbitration provision.

13. Governing Law

These Terms and any action related thereto shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. Subject to the arbitration provision in Section 12, the state and federal courts located in Mesa County, Colorado shall have exclusive jurisdiction over any action not subject to arbitration, and you hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

14. Amendments to Terms

YouNova reserves the right, in its sole discretion, to modify, amend, or replace these Terms at any time. When we make material changes, we will provide notice by posting the updated Terms on our website and updating the "Last Updated" date at the top of this page. We may also, at our discretion, notify you via email or through the Services. Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue using the Services.

Waiver of any provision of these Terms shall not be deemed a waiver of any other provision or of the same provision at a later time. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
